Mps, share capital increase offer period ended
Banca Monte dei Paschi di Siena announced that, today, Monday 4 November, the offer period to BMPS shareholders of the maximum 1,249,665,648 newly issued BMPS ordinary shares has ended, as part of the capital increase approved by the Extraordinary Assembly of BMPS held on 15 September last.
At the end of the option period, no. 7,409,022 option rights for the item no. 923,658,076 new shares, equal to 74% of the total shares offered, for a total value of 1,847,316,152 euro and 2,615.03 option rights are not exercised which entitle to the total damage of 326,007,572 shares, for a total value of 652,015,144 euros, equal to approximately 26% of the capital increase.
This figure does not take into account the sub-underwriting commitments by third party investors for an amount equal to 475 million euros (of which 20 million assumed today), corresponding to 19% of the capital increase or approximately 73% of the unexercised rights, valid on the new shares that should remain unexercised at the end of the auction of the unexercised.
Therefore, taking into account the results at the end of the option period and the aforementioned commitments, to date approximately 93% of the capital increase is already underwritten, or subject to binding commitments. This percentage may also increase due to further subscriptions, taking into account any unexercised rights, which may be acquired during the auction to be held on 1 November and 2 November (except for early closure in the case of full sale of the unexercised rights).
Mediobanca – Banca di Credito Finanziario SpA in the sessions of 1 and 2 November, will coordinate the offer of the unexercised rights that will be offered on the Stock Exchange.
The communication on the final outcome of the Capital Increase will be provided to the public by BMPS by means of a specific press release by the market opening on November 4th.
