The annual general meeting was held on May 3 this year established principles for appointing the election committee for PowerCell Sweden AB (publ). These principles were based on ownership from then on 30 July 2022with an additional representative from Board of Directors for PowerCell. Representatives have now been appointed to the election committee.
After contacts with the company’s 20 largest shareholders per 30 July 2022PowerCell has concluded that only one of these shareholders, Robert Bosch GmbH, requested to appoint a member of the company’s election committee. As in the previous year, Robert Bosch GmbH designated Achim Moritz as its representative in the election committee. PowerCell’s chairman of the board, Magnus Jonssonhas been appointed to represent the board in the election committee.
Magnus Jonsson and Achim Moritz then jointly decided to appoint an independent third member of the nomination committee, in accordance with the principles for the nomination committee adopted by the AGM. Lena Olving was appointed as an independent member, given her independence in relation to the company, appropriate competence for the assignment and familiarity with PowerCell as a company.
In summary, the following people have been appointed to PowerCell’s nomination committee according to the principles adopted by the annual general meeting:
- Achim Moritzrepresents Robert Bosch GmbH;
- Lena Olving, independent member; and
- Magnus Jonssonconvening member of the election committee, representing Board of Directors for PowerCell.
PowerCell’s 2023 Annual General Meeting takes place at Gothenburg on April 19, 2023. The time and place will be announced in connection with the announcement of the call.
