In accordance with the Capital Market Act, Hrvatska poštanska banka dd (the Bank), as the parent company of the Hrvatska poštanska banka Group (Group), publishes unaudited financial statements for the period from January 1 to June 31, 2022.
The original and official report was published in Croatian.
The report includes:
- HPB Group management report
- Statement of the persons responsible for compiling the report
- An unaudited set of consolidated financial statements (balance sheet, profit or loss statement, statement of changes in equity, cash flow statement) and
- Notes to the consolidated financial statements.
The financial statements and notes were compiled in accordance with the instructions defined by the Ordinance on the content and structure of the issuer’s reports for periods during the year (Official Gazette 114/2018, 27/2021, 26/2022).
HPB Group significantly strengthened by the acquisition of Nova Hrvatske banka
- On April 14, 2022, HPB took control through NHB
- Intensive acquisition activities are underway, and integration with the parent the company is expected in 2023
- The consolidated unaudited financial statements include the financial result of NHB from the acquisition date (April 14, 2022) to the reporting date (June 30, 2022).
- This report contains all data available and known at the time of creation
- Taken into consideration that post-acquisition activities (PPA and due diligence) are ongoing, during this process it is possible to obtain information that is not currently, nor can be, known
- This report contains expected transaction costs, which are based on consultants’ estimates, excluding software application costs, restructuring costs and other related costs, which are not known at this time.
- The aforementioned circumstances may affect the content of the report.
