Allterco dd announces the signing of the contract on the takeover of the Slovenian IoT provider GOAP doo

Sofia / Munich, July 29, 2022 – Allterco JSCo (code A4L / ISIN: BG1100003166) (“Alterco” / the “Company“) informs about the signing of a binding contract between Allterca and four shareholders (one legal entity and three natural persons) of the company GOAP doo (“GOAP”) on the general conditions for the acquisition of the Slovenian IoT provider in two phases, namely:

1^St phase: Acquisition of 60% shares in GOAP in the value of EUR 2 million at the conclusion of the Purchase Agreement.

2^n.d rate: The remaining 40% of shares held by the three individual GOAP shareholders will be subject to call and put option agreements under which Allterco has a call option to purchase and the sellers have put options to sell the remaining shares. . Options are exercised at the discretion of the respective option holder in one or more increments and against a price that varies within a predetermined range based on predetermined measurable GOAP results over a predetermined time period. If the GOAP results do not reach a predetermined threshold within a predetermined time period, then the sellers will not have any put options and Allterco will retain call options that can be exercised against a predetermined minimum price. The specific terms of the options, including the price, are subject to further negotiation between the parties.

Allterco has the right to settle up to 50% of the total price due to individual shareholders with its own shares.

The anticipated closing date for the transaction is 3 months after the signing of the terms and conditions agreement. Under certain conditions, this deadline can be extended for a maximum of 3 additional months.

With the acquisition, Allterco intends to expand its technology portfolio and thereby expand its product offering for both consumers and professional users.
